Terms of Use

These terms govern your use of the PPPWorld website (the “Platform”). By accessing it, you accept them. If you do not accept them, do not use the Platform.

1.What PPPWorld is — and what it is not

PPPWorld is an international institutional platform dedicated exclusively to Public-Private Partnership (PPP) projects led by states, governments and public entities. It allows public authorities to present their strategic projects to an international community of investors, banks, investment funds, industrial companies, contractors, operators and technical partners. It facilitates project visibility, access to information and connections between public authorities and the parties able to finance, develop or deliver these projects. In particular, PPPWorld:

• provides no investment, credit, payment or crowdfunding service;
• does not receive, transmit or execute any order or expression of interest;
• does not hold, receive or transfer any funds or transaction documents;
• is not a party to any financing, contract, negotiation or transaction concluded between users and public authorities;
• guarantees neither the financing, nor the delivery, nor the outcome of a project.

PPPWorld is neither a credit institution, nor an investment firm, nor a crowdfunding service provider, and holds no authorisation in that capacity.

2.Intended audience and nature of the information

The Platform is aimed at states and public entities leading projects, as well as investors, banks, investment funds, industrial companies, contractors, operators and technical partners able to contribute to these projects. The information published is strictly informational: nothing in it constitutes a public offering, a solicitation, investment advice or a recommendation of any kind.

3.Projects presented by states, and responsibility

Each project presented is led by a state, government or public entity, which remains responsible for the information relating to that project. PPPWorld relays this information for guidance only and links to the corresponding official source. PPPWorld does not verify, approve or guarantee the accuracy, completeness or lawfulness of the information, nor the existence, quality or viability of any project described. The standardised presentation (title, investment cost, country, sector, summary) is provided solely for readability and implies no assessment on the part of PPPWorld.

4.Introductions

PPPWorld may facilitate an introduction between a public authority and an interested party. The sole purpose of this introduction is to enable the parties to make contact; PPPWorld does not become a party to it and assumes no obligation regarding the exchanges, due diligence, negotiations, contracts, financing or delivery that may follow. These take place directly between the parties concerned and under their sole responsibility, each remaining solely responsible for its own due diligence and regulatory compliance. For any reference information relating to a project, please consult the official source.

5.Advisory and support services (optional)

In addition to the Platform, and on an entirely optional basis, PPPWorld may offer interested parties specific support and advisory services relating to the project concerned. These services may include identifying construction companies, technical partners, suppliers and resources available locally, gathering additional information from public authorities, and facilitating the exchanges and negotiations needed to advance the project.

These services are optional, provided on request under a separate agreement, and have no bearing on access to the projects published on the Platform. Their existence cannot be inferred from the mere fact that PPPWorld presents a project. Unless expressly stated otherwise, they include no investment advice and carry no guarantee as to the financing, outcome or delivery of a project, and the presentation of a project implies no legal, financial, technical, environmental or commercial due diligence on the part of PPPWorld.

6.Prohibited uses

• Impersonating PPPWorld, a public authority or another organisation;
• Probing, circumventing or compromising the security of the Platform;
• Extracting, mass-collecting or republishing the Platform’s content for unsolicited outreach;
• Using the Platform for unlawful purposes, in particular money laundering or the circumvention of sanctions;
• Interfering with the operation of the Platform or other users’ access.

7.Intellectual property

The design, texts and branding elements of the Platform belong to PPPWorld or its licensors. Information relating to projects belongs to the states and public entities concerned. You may consult and print the pages for your own professional assessment; any other reproduction requires prior written authorisation.

8.No warranty

The Platform is provided “as is” and “as available”. PPPWorld gives no warranty as to availability, accuracy or fitness for a particular purpose, and may modify or discontinue any part of the Platform at any time.

9.Limitation of liability

To the fullest extent permitted by applicable law, PPPWorld shall not be liable for any harm arising from: (a) the content of a project presented; (b) an introduction, contact, negotiation, financing or transaction between the parties; (c) reliance on the information presented on the Platform; or (d) any interruption or unavailability of the Platform. Nothing in these terms excludes liability that cannot lawfully be excluded.

10.Personal data

Use of the Platform is also subject to our Privacy Policy.

11.Governing law and disputes

These terms are governed by the law of the State of Delaware (United States) and disputes fall under the competent courts of Delaware, unless a mandatory provision provides otherwise. (To be confirmed with legal counsel.)

12.Changes

This provisional version will be replaced by a lawyer-reviewed version. Continued use of the Platform after an update constitutes acceptance of the revised terms.
